In Ukraine, depending on the founders’ goals, number of participants, business activities, and other factors, there are over 30 types of private business entities designed primarily for profit-making. Most of them are specific legal forms tailored to certain types of economic activity.
For example: a farming enterprise or a law firm – the name itself indicates the kind of business activity permitted for that entity.
The simplest way to run a business, legally speaking, is as a sole proprietor (FOP). However, if you have partners, want to limit your liability to your investment, need to present yourself as a legal entity, or plan to apply for benefits, licenses, or government/private tenders, then we recommend forming a Limited Liability Company (LLC). This is provided that your business type does not legally require a specialized legal form (e.g., private pension funds must be established as general or joint-stock companies).
The most common and versatile form is the LLC (Limited Liability Company).
In everyday language, an LLC is often referred to as a "firm" or "company", but technically, these are general terms and can apply to any business entity, including LLCs.
A business entity in the form of a Limited Liability Company (LLC) is a legal entity whose authorized (share) capital is divided among its members. According to the new Law of Ukraine "On Limited and Additional Liability Companies", the number of LLC participants is not limited. Founders of an LLC can be both individuals and legal entities — including Ukrainian citizens (residents), foreign nationals (non-residents), and stateless persons.
The operation of an LLC is governed by the Commercial Code, the Civil Code, the Law of Ukraine "On Limited and Additional Liability Companies" dated February 6, 2018, and other sector-specific laws depending on the selected business activity codes (KVEDs). For instance, if an LLC plans to operate in the tourism sector, its activities will also be regulated by tourism-specific legislation. There is currently no legally established minimum share capital requirement; the founders independently determine the amount, which must be fully contributed within six months from the date of official LLC registration. Typically, the capital is based on a business plan, or in its absence, the company’s budget. For example, if you need $10 million within 6 months for startup operations, such as purchasing goods, paying for services, rent, salaries, and taxes, this amount should be reflected in the authorized capital. If the company’s financial needs grow, the capital can later be increased.
Sources of LLC capital formation (contributions to the authorized fund) may include the founders’ assets: funds in national or foreign currency, movable and immovable property (offices, vehicles, equipment, etc.), intellectual property, property rights (e.g., usage rights or receivables under a contract), and corporate rights (shares in other companies). In the event of bankruptcy, the LLC is liable only with its own assets and financial rights, meaning the founders (members) do not risk their personal property — unlike in the case of sole proprietorship (FLP), a general partnership, or a additional liability company.
The first step in registering an LLC in Ukraine is to create a business plan. This is an essential document — launching and operating any business without it is a significant challenge. A business plan is an economic feasibility study (investment justification) for your business idea, which outlines all startup costs, pricing methods, profitability calculations, return on investment, potential risks, and more.
A business plan is usually prepared by an economist. However, in some cases, a qualified accountant, manager, or business owner may also handle it. Many ask, why do you need an economist if you have an accountant? The difference lies in that accounting reports reflect past financial activities, whereas the economist forecasts income (based on the product list, sales performance, or market research) and plans expenses, including those informed by accounting data.
The second step is to convene the founders for the founding meeting (in the future, the general meeting will serve as the LLC’s supreme governing body). At this meeting, the business plan is approved, a resolution on establishing the company and its goals is adopted, the Charter and, optionally, a Founders Agreement are approved, ownership shares and share capital are distributed, and a governing body is elected — either a board (directorate) or a sole executive body in the form of a company director. The appointed executive or an authorized representative is then assigned to carry out the official LLC registration in Ukraine.
The executive body will be responsible for day-to-day business management and for reporting to the general meeting (the company’s owners). If any of the founders are legal entities, they must be authorized by a resolution of their competent governing bodies to establish the new company and contribute their share of the capital.
An LLC can be established by a single individual. However, under Article 141, Paragraph 2 of the Civil Code, an LLC with a sole legal entity as the founder cannot in turn be the sole founder of another LLC. In such cases, there must be at least two founders — for example, a legal entity and an individual, or two legal entities.
According to the Law of Ukraine "On Limited and Additional Liability Companies", the founders (participants) may also sign a corporate agreement — a legally binding contract under which the participants agree to exercise their rights and obligations in a specific way or refrain from exercising certain rights. This agreement complements the Charter and offers additional legal protection to the participants beyond what is provided in the company’s founding documents.
The third step is the official procedure of state registration of a Limited Liability Company (LLC).

Simplified Taxation System
According to the Tax Code of Ukraine, the most suitable simplified tax regime for legal entities is the third group of the single tax system.
Single Tax Group 3 for Legal Entities: Restrictions:
Legal entity income refers to all income, including that of branches, representative offices, and divisions, received during the reporting period in monetary form (cash or cashless), or in the form of free-of-charge goods, works, or services (material or non-material).
Entities not eligible for the simplified tax system include those engaged in the following types of business activities:
1 Gambling and betting operations;
2 Foreign currency exchange operations;
3 Production, export, import, or sale of excise goods (except retail sale of fuel and lubricants in containers up to 20 liters and retail sales of beer and table wines by individuals);
4 Extraction, production, or sale of precious metals and stones, including organic gems (excluding the manufacture and sale of jewelry and household goods made from such materials);
5 Extraction or sale of mineral resources, except for those of local importance;
6 Financial intermediation services, excluding insurance activities by insurance agents defined by the Law of Ukraine "On Insurance", surveyors, loss adjusters, and claims assessors;
7 Business management services;
8 Postal (except courier) and communication services (except those not subject to licensing);
9 Sale of art and antiques, or organizing auctions involving artworks, collectibles, or antiques;
10 Organization and promotion of touring entertainment events.
Also excluded:
Single tax payers are required to conduct transactions exclusively in monetary form (cash or cashless) for the delivery of goods, services, or completed work.
For legal entities, this involves paying corporate income tax at a rate of 18% on the company’s net profit. Net profit is calculated as total income from the sale of goods, services, or works, minus all officially declared business expenses (such as rent, salaries, electricity, etc.).
This taxation system applies to all companies that have either voluntarily opted into it or are restricted from using other tax regimes. Companies operating under the general taxation system must also register as VAT payers if their total turnover exceeds UAH 1 million over the last 12 months.
Distribution of Dividends (LLC Member Income)
Dividends represent a portion of the company’s profit distributed among shareholders in accordance with the procedures outlined in the LLC's charter documents.
For legal entities paying corporate income tax, in 2025 dividends are subject to an 18% advance corporate income tax payment. The Tax Code outlines specific cases when the advance tax is not required — for example, if dividends are paid to individuals; by companies whose profits are tax-exempt (such as enterprises established by disability organizations, Chornobyl cleanup enterprises, aircraft manufacturing companies); by single tax payers; by parent companies if the dividends paid do not exceed the amount received from subsidiaries; or by collective investment institutions (CIIs).
When dividends are paid to a non-resident, the resident company becomes the tax agent and must withhold and pay a 15% withholding tax (repatriation tax) on behalf of the non-resident. However, there are exceptions. Withholding tax may not apply if the non-resident pays tax on those dividends in their home country and there is a valid double taxation treaty between Ukraine and that country. The non-resident must provide a certificate of tax residency status as proof. Failure to withhold and remit the repatriation tax may result in penalties as outlined in Article 127.1 of the Tax Code of Ukraine (a fine of 25% of the unpaid tax amount).
Legal entities on the simplified tax system are exempt from the obligation to accrue and pay advance dividends starting from 2025 (Article 57 of the Tax Code of Ukraine). However, when paying dividends to non-residents, unified tax payers must fully pay the repatriation tax.
When paying dividends to individuals, personal income tax (PIT) and military levy must be withheld from the dividend amount. It's also important to note that dividends are not subject to the unified social contribution (USC). Dividends paid to individuals are taxed at different PIT rates:
The military levy is paid in all cases at a standard rate of 5%.

To determine if a license is required, please review the list of licensed business activities in Ukraine, effective as of March 2, 2015, in accordance with Law No. 222-VIII.
